These Terms of Use (“Terms”) are a binding agreement between you and FloDisc (“FloDisc”, “we”, “us”, or “our”), governing your use of the FloDisc mobile application and website at flo-disc.com (together, the “Service”). 1. Acceptance of these Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms apply to all users, including customers and businesses.
2. Eligibility
You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service, and at least the age of majority in your jurisdiction to purchase a subscription. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.
3. Accounts
You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential. You are responsible for all activity under your account. Notify us immediately at georgiy@flo-disc.com if you suspect unauthorized use. You may hold a customer account, a business account, or both, subject to these Terms.
4. The Service
FloDisc lets customers discover local businesses and the deals they offer, generate discount codes to redeem in person, and lets businesses publish listings and validate those codes. We may add, change, or remove features at any time. Some features (such as generating discount codes) may require a premium subscription.
5. For customers & discount codes
- Deals and offers are provided by independent businesses and may change, be limited in quantity, or be withdrawn at any time. FloDisc does not guarantee that any offer will be available or honored.
- Discount codes are typically time-limited and intended for a single, in-person redemption at the issuing business. Codes may not be sold, transferred, duplicated, or used fraudulently.
- A business may decline a code that is expired, already used, invalid, or presented in a way that violates its terms or these Terms.
- Any dispute about an offer, product, or service is between you and the business. FloDisc is not a party to that transaction.
6. For businesses
- You must provide accurate, lawful, and non-misleading listing information, and you must have the rights to any content (including photos) you upload.
- New listings and certain changes may be subject to review/moderation before they appear publicly. We may approve, decline, edit, suspend, or remove any listing, and we may suspend or ban a business, at our discretion — for example, for inaccurate information, abuse, complaints, or violations of these Terms or applicable law.
- You are solely responsible for honoring the offers you publish and for complying with all laws applicable to your business, offers, and pricing.
- You are responsible for validating discount codes at the point of sale and for any decision to accept or decline a code.
- You grant FloDisc the license described in Section 8 to display your listing and content within the Service.
7. Subscriptions & billing
FloDisc offers auto-renewing premium subscriptions purchased through the Apple App Store or Google Play. Current plans:

- Auto-renewal: Subscriptions automatically renew at the then-current price unless cancelled at least 24 hours before the end of the current period.
- Free trial: If you start a free trial and do not cancel before it ends, your subscription begins and you will be charged. Any unused portion of a free trial is forfeited when you purchase a subscription, where applicable.
- Billing & management: Payment is charged to your Apple or Google account. Manage or cancel your subscription in your App Store or Google Play account settings. We cannot cancel a store subscription on your behalf.
- Refunds: Purchases are handled by Apple and Google and are subject to their refund policies. We generally do not provide refunds except where required by law.
- Price changes: We may change subscription prices; changes apply to future billing periods and, where required, will be communicated in advance.
Prices and availability may vary by region and over time, and the prices shown in the App at the time of purchase govern.
8. Your content
You retain ownership of content you submit (such as business photos, listing details, and reports). You grant FloDisc a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content as needed to operate and promote the Service. You represent that you have the rights to the content you submit and that it does not infringe any third party’s rights or violate any law.
9. Acceptable use
You agree not to:
- Break the law or infringe others’ rights;
- Post false, misleading, deceptive, or fraudulent listings, offers, or reports;
- Generate, sell, transfer, or redeem discount codes fraudulently or in bulk;
- Upload content that is unlawful, infringing, harmful, or offensive;
- Interfere with, disrupt, reverse-engineer, scrape, or attempt to gain unauthorized access to the Service;
- Misuse another person’s account or impersonate any person or business;
- Use the Service to harass, abuse, or harm others.
10. Intellectual property
The Service, including the FloDisc name, logo, design, and software, is owned by FloDisc and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the App for its intended purpose. You may not copy, modify, distribute, or create derivative works from the Service except as permitted by law.
11. Third-party services & links
The Service relies on third parties (such as the Apple App Store, Google Play, mapping providers, and push-notification services) and may link to third-party websites (such as a business’s website). We are not responsible for third-party services, content, or practices, and your use of them is governed by their own terms.
If you use the App via the Apple App Store, you acknowledge that these Terms are between you and FloDisc only, not Apple; that Apple has no obligation to provide support or handle claims relating to the App; and that Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FLODISC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LISTING, OFFER, OR DISCOUNT WILL BE ACCURATE, AVAILABLE, OR HONORED. ALL TRANSACTIONS FOR GOODS OR SERVICES ARE SOLELY BETWEEN YOU AND THE RELEVANT BUSINESS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLODISC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless FloDisc and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your offers (if you are a business), or your violation of these Terms or any law or third-party right.
15. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, or remove content or listings, at our discretion — including for violations of these Terms, suspected fraud or abuse, or to comply with law. Sections that by their nature should survive termination (such as content licenses already granted, disclaimers, limitations of liability, and indemnification) will survive.
16. Governing law & disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, USA, unless applicable law requires otherwise.
17. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
